These terms of use (hereinafter, the "Terms") govern your use of the Atome Software solution, accessible at app.atome.sh (hereinafter, the "Solution"), published by Atome Software, a simplified joint-stock company with a share capital of €1,000, headquartered at 60 rue François 1er, 75008 Paris, France, registered with the Paris Trade and Companies Registry under number 989 735 048 (hereinafter, "Atome Software", or "we", "our", "us").

The Solution enables users to build custom applications to facilitate the management and organization of business activities through a centralized collaborative workspace, customizable dashboards, connections to various tools, and an AI-powered conversational agent.

The company (hereinafter, the "Company") for which you work (in any capacity: employee, contractor, intern, etc.) has entered into a contract with Atome Software so that you can benefit from the Solution.

Therefore, by using our Solution, you unreservedly accept these Terms as well as our Privacy Policy, accessible from the Solution.

The users of the Solution (hereinafter, the "User", "you", "your") and Atome Software are referred to collectively as the "Parties" in these Terms.

These Terms are drafted in French in their original version, which alone is authoritative and prevails over any other version.

1. Prerequisites for Using the Solution

To access and use the Solution optimally, you must have a device with a technical environment compatible with the Solution.

In this regard, the following prerequisites apply:

  • An Internet connection is required to activate your account and use the Solution.
  • You must have a User account.

It is your sole responsibility to update the technical environment of your electronic devices to maintain their compatibility with the Solution.

2. Technical Support

As part of a best-efforts obligation, Atome Software provides a technical support service.

3. Publisher Liability and Warranties

Atome Software commits to implementing all necessary means to ensure optimal access to the Solution and to guarantee the accessibility and continuity of services 24 hours a day, 7 days a week.

Scheduled maintenance periods or interruptions for critical security reasons may occur.

Atome Software is only bound by a best-efforts obligation regarding the continuity of access to the Solution.

It is reminded that connection to the Solution is made in principle via the Internet, which by nature involves technical uncertainties that may cause slowdowns or unavailability.

Thus, Atome Software cannot be held liable for:

  • Failures, breakdowns, difficulties, or operational interruptions resulting from the Internet or telecommunications networks preventing access to the Solution or any of its features;
  • Damages resulting from the User's actions, your Company's actions, third-party actions, or force majeure;
  • Indirect damages resulting from the use of the Solution, including but not limited to loss of business, loss of opportunity, damage to image or reputation, commercial or economic harm;
  • Any data loss suffered by the User.

Furthermore, Atome Software's liability cannot be engaged in the event of:

  • Use of services in a manner not provided for in the Terms;
  • Use of the Solution in an environment or configuration that does not meet the technical prerequisites detailed in the Terms;
  • Any contractual breach by your Company leading to termination of our services.

4. User Liability

By using our Solution, you agree to comply with all applicable laws, regulations, and authorizations, including but not limited to data protection and privacy laws.

Specifically, you are prohibited from:

  • Engaging in illegal or unlawful activities via the Solution;
  • Modifying, altering, or creating derivative works based on the Solution;
  • Distributing, commercially exploiting, making available to third parties, reselling, or renting the Solution or credentials used to access the Solution;
  • Compromising the integrity or performance of the Solution;
  • Engaging in activities such as reverse engineering the Solution or removing any element protected by copyright or trademark;
  • Attempting to create a competing product or service by reproducing the characteristics, functionalities, or graphical attributes of the Solution.

5. Intellectual Property

License to Use the Solution Granted to the User

Atome Software grants you a personal, worldwide, non-exclusive, and non-transferable right to use the Solution for the duration of the contract concluded with your Company, allowing you to use it in accordance with these Terms.

This right is granted solely for the purpose of allowing you to use the Solution for strictly professional purposes, to the exclusion of any other purpose. This right of use is free of charge to you as its cost is covered by your Company.

This right is limited to the duration during which your Company is contractually engaged with Atome Software. Beyond this period, you will no longer be able to access the Solution.

This right of use does not include any sublicensing rights.

It is prohibited to make elements of the Solution available to third parties. Any use of the Solution outside the scope defined in the Terms is strictly prohibited.

Any total or partial reproduction or representation of the Solution or all or part of its contents for purposes other than its use as provided for in the Terms is strictly prohibited.

Any unauthorized use of elements of the Solution engages the civil and/or criminal liability of its author and may result in legal proceedings against them.

Ownership of the Solution

All intellectual property rights (hereinafter, "Intellectual Property Rights") concerning the Solution, including its object code, structure, interface, documentation, databases, algorithms, and any other related components, belong strictly to Atome Software.

Any improvement, update, optimization, or new version of the Solution, whether based on your feedback and suggestions and/or those of your Company, remains the property of Atome Software.

6. Personal Data

Atome Software collects your personal data to allow you to access and use the Solution.

You can obtain more information about the processing of your personal data by consulting our Privacy Policy.

We also remind you that you have the right to access, rectify, delete, object, limit processing, and data portability, which you can exercise with your Company.

You can also file a complaint with the French Data Protection Authority (CNIL).

7. Security

Atome Software implements technical measures in accordance with industry best practices and deploys reasonable efforts to ensure the security of your data. Data is encrypted in transit and at rest and is hosted within the European Union 🇪🇺. Atome Software commits to maintaining security measures to protect the servers and networks under its responsibility and control.

8. Duration of Terms and Termination

Duration

These Terms apply to you from the moment you first access the Solution and remain in effect as long as you have a User account on the Solution or until they are modified.

Deletion of User Account at Your Company's Initiative

Your Company may terminate your access by deleting your User account.

If you no longer wish to have a User account, you may contact your Company to have your User account deleted.

Deletion of User Account by Atome Software

Atome Software reserves the right to delete your User account in case of non-compliance with the Terms, after sending a written notice to your Company and/or yourself that has remained without effect for 10 days.

Account deletion will result in immediate termination of the Terms on the day of deletion.

Consequences of Deletion

In the event of termination of the Terms for any reason, access to the Solution will be suspended immediately on the effective date of termination.

You will no longer be able to access the Solution's data.

9. Modifications

Solution Updates

We continuously improve and update our Solution to offer the best features and user experience possible.

Consequently, we reserve the right to update and modify the content and/or features of the Solution at any time.

We deploy these improvement updates automatically for Users with an active account.

Modifications to the Terms

Atome Software may modify the provisions of these Terms at any time.

In the event of significant changes to these Terms, we will inform you by any means of the planned modifications and with a reasonable notice period.

If you refuse the changes, you may notify your Company that you no longer wish to have a User account.

On the contrary, if you continue to use the Solution after the modifications come into effect, this means you accept the updates. The Terms applicable to you are then the Terms in their modified version.

10. Assignment

We reserve the right to assign, transfer, substitute, or delegate all of our rights or obligations under these Terms to a third party, without having to request your written consent or perform any particular formality.

11. Evidence Agreement

In the event of a dispute, computerized records kept in our computer systems, particularly in the Solution, under reasonable security conditions, shall constitute proof between the Parties unless proven otherwise.

The aforementioned data therefore constitutes admissible, valid, and enforceable evidence under the same conditions and with the same probative force as any document that would be established, received, or kept on paper.

12. Applicable Law and Jurisdiction

The Terms are subject to French law for both formal and substantive rules.

In the event of failure of amicable negotiation attempts and mediation, and to the extent permitted by law, any claim, dispute, or disagreement relating to the acceptance, interpretation, execution, or termination of the Terms shall be submitted to the jurisdiction of the courts within the jurisdiction of the Paris Court of Appeal, notwithstanding multiple defendants or third-party claims.
